Senior Associate Opportunity
McCullough Huddleston and Woo, PLLC is a boutique corporate, tax, and international business law firm advising lower middle-market enterprises, growing companies, and multinational businesses. We provide sophisticated counsel across domestic and cross-border mergers and acquisitions, joint ventures, corporate governance, commercial transactions, and inbound/outbound foreign investment.
The Opportunity
We are seeking an entrepreneurial, driven Associate or Senior Associate Attorney to join our expanding corporate practice.
This role is designed for a self-starter who excels at running deals, thrives in a collaborative boutique environment, and wants a direct pathway to partnership and firm leadership. The ideal candidate brings strong transactional chops, business acumen, and a partial portable book of business with an appetite to actively grow it.
Key Responsibilities

Structure, negotiate, and close lower middle-market M&A, asset/stock purchases, carve-outs, joint ventures, and equity financing transactions.

Draft and negotiate core commercial agreements, operating/shareholder agreements, distribution arrangements, and corporate governance documents.
- Manage transaction workflow from LOI through due diligence, definitive drafting, closing, and post-closing integration.

Collaborate directly with partners on business development, client pitching, thought leadership, and cross-border networking initiatives.
Qualifications & Experience

Education & Licensure: J.D. from an ABA-accredited law school; active member in good standing with the State Bar of Texas (dual licensure in NY or other major commercial jurisdictions is a plus).

Experience Level:

Junior Associate: 2–4 years of dedicated corporate/transactional experience.

Senior Associate: 5–8+ years of sophisticated M&A and corporate transactional practice.

Core Expertise: Proven background in M&A, general corporate counseling, commercial contracting, or cross-border/international business law.

Portable Business: A modest, verifiable book of business or an established network demonstrating strong origination potential.

Mindset: Entrepreneurial mindset, high autonomy, excellent client-facing communication skills, and sound commercial judgment.

Tax / Cross-Border (Bonus): An LL.M. in Taxation or experience with cross-border tax/structuring issues is highly valued but not required.
