About Us

A Texas Corporate Law Boutique Built for Business.

We are a corporate and international business law firm headquartered at our Houston office, but serving clients in Southlake, Texas and beyond. Founded in 2014, we are an entrepreneurial-minded, tech-savvy boutique dedicated to helping businesses form, grow, expand, and succeed in complex markets.

We serve founders and the companies they build, combining deep transactional experience with strategic business insight to deliver practical, results-oriented legal solutions. Our clients turn to us for ongoing general counsel service or specific M&A or strategic projects when using a large national law firm is not the right fit.

Our Focus: Sophisticated Legal Counsel for Every Phase of Business

We advise clients through every stage of the corporate lifecycle, offering comprehensive support from startup through strategic exit.

  • Start-Up and Formation: Entity selection, shareholder and partnership agreements, governance, and founder equity structuring.

  • Growth and Operations: Commercial contracts, employment and compensation matters, intellectual property protection, and compliance.

  • Capital Raising: Structuring seed, venture capital, and private equity investments with a focus on efficiency and investor alignment.

  • Mergers & Acquisitions: Negotiating, structuring, and closing domestic and cross-border transactions, including tax-efficient exits.

  • International Business: Cross-border deal structuring, foreign investment, and international regulatory compliance.

  • Corporate Tax Planning: Integrated transactional tax strategies for emerging and middle-market businesses.

  • Real Estate Transactions: Support for commercial leases, property acquisitions, and development.

A Lean, Tech-Savvy Legal Partner

At MHW we embrace technology to enhance efficiency and responsiveness. Our systems streamline communication, document management, and legal research — allowing us to deliver high-quality work quickly and cost-effectively. Clients trust us to be accessible, informed, and proactive in addressing both immediate needs and long-term strategic objectives.

Our structure is intentionally lean. Matters are handled principally by experienced attorneys rather than pushed through multiple layers of staffing. That model allows us to provide sophisticated corporate counsel at rates that make sense for middle-market companies, entrepreneurs and international businesses.

Who We Serve

Our clients reflect the energy and diversity of the Texas economy:

  • Emerging Technology and Software Companies

  • Energy and Industrial Firms

  • Expanding Domestic and International Corporations

  • Start-Ups and Investors

We understand the legal and operational challenges that growth-oriented companies face — from scaling operations and raising capital to entering new markets and preparing for an exit.

The MHW Advantage

We are experienced corporate counsel, providing sophisticated legal solutions tailored to each client’s commercial goals.

Our approach is defined by:

  • Diligence: Thorough analysis and preparation for every transaction.

  • Efficiency: Streamlined processes that save clients time and cost.

  • Responsiveness: Clear, timely communication at every stage.

  • Practical Insight: Advice aligned with business realities, not legal theory.

  • Creative Problem-Solving: Innovative strategies for complex challenges.

We are not the law firm for everyone. But we are good at what we do. When a client has professional needs beyond our expertise, we work with the client to identify the local, national, or international professionals within our extensive network to best serve their needs.

Strategic Counsel for a Global Economy

Texas continues to attract companies relocating headquarters, expanding operations, or investing in energy and technology ventures. McCullough Huddleston and Woo provides the legal and strategic insight to help clients navigate this growth environment, whether expanding into Texas, entering new international markets, or executing cross-border M&A.

Our attorneys draw on deep Texas business law knowledge and international experience to ensure clients stay compliant, protected, and positioned for success in a dynamic global marketplace.

Our History and DNA

The law firm was launched in 2014 by Doug McCullough and Phil Sudan (formerly a partner in the longtime Houston corporate transactions law firm, Ryan and Sudan). Aaron Woo, another former law partner of McCullough, joined the law firm just a few short months later.

Named partners Aaron Woo and Doug McCullough have worked side by side since 2011, while Danielle Huddleston has anchored the DFW practice since shortly after the firm’s founding.  The original concept of the firm was to be a boutique law firm with exceptional skills, providing valued client service, and concentrated on core capabilities of corporate transactions, general counsel services, and international business. That fundamental concept is our DNA that still defines MHW, and is embodied by our three named partners.
